01Agreement to these terms

These terms govern your use of espindolaassociatesmg.com and the content, programs, and community spaces Espindola & Associates Management Group operates. By using the site, you agree to them. If you do not agree, please do not use the site.

We may update these terms. The effective date above shows the current version, and continued use after a change means you accept it.

02Who may use the site

You must be at least 18 years old to use this site, submit a form, or register for a session. By using it you confirm you can enter an agreement on your own behalf, or on behalf of the organization you represent.

03The site is information, not an engagement

Everything on this site — service descriptions, case studies, frameworks, session outlines — is provided for information. It is not an offer, a proposal, or professional advice, and reading it does not create a consulting, coaching, or client relationship.

An engagement with EAMG begins only when both parties sign a written agreement describing the scope, fees, and terms. Where a signed agreement conflicts with these terms, the signed agreement controls for that engagement.

04Our intellectual property

The site and its contents — text, graphics, logos, photographs, audio, video, frameworks, curricula, worksheets, and the selection and arrangement of all of it — are owned by EAMG or our licensors and are protected by copyright, trademark, and other laws.

Our marks include Espindola & Associates Management Group, EAMG, The Aligned Executive Coach™, The Power of 3: Heart + EI + Purpose = Success³™, The House of Grace Wellness™, The Grounding Circle™, and The GR!T with Grace Espindola. You may not use them without our written permission.

What you may do

  • View, download, and print pages for your own reference or internal use at your organization.
  • Quote briefly with attribution to Espindola & Associates Management Group and a link to the source page.
  • Share links to any public page.

What you may not do

  • Republish, sell, license, or distribute our content, in whole or in substantial part.
  • Teach, facilitate, or deliver our frameworks, curricula, or session formats to others — paid or unpaid — without a written license.
  • Remove copyright or trademark notices, or present our material as your own.
  • Use our content to train machine learning or generative AI systems.
  • Scrape, crawl, or bulk-download the site, or attempt to access areas not open to the public.
  • Interfere with the site’s operation or security, or upload anything malicious.

05Content you submit

When you send us a message, a form response, a testimonial, a review, or a question for a session or episode, you keep ownership of it. You give us a non-exclusive, royalty-free license to use it for the purpose you sent it for — answering you, running the session, or, where you have given permission, quoting it in our materials.

You are responsible for what you send. Do not submit anything unlawful, defamatory, harassing, infringing, or confidential to someone else. We may remove or decline to use any submission, at our discretion.

06Community and session conduct

The Grounding Circle™ and our other facilitated sessions depend on people being willing to speak candidly. Participation is conditioned on a few things:

  • Confidentiality. What is shared in the room stays in the room. Take the ideas with you; leave the personal details behind.
  • Respect. No harassment, discrimination, personal attacks, or disruption. Listen before responding.
  • No recording. Do not record, photograph, or transcribe a session without the facilitator’s and participants’ explicit permission.
  • No solicitation. Sessions are not a venue for selling to other participants.

We may ask anyone who does not follow these expectations to leave a session, and may decline future registrations. Where a session was paid for, refunds in that situation are at our discretion.

07Podcast, media, and guest views

Episodes, articles, and recordings we publish are for personal, non-commercial listening and reading. Do not re-upload, edit, or redistribute them, or use clips in your own commercial material, without written permission.

Guests speak for themselves. Their views are not necessarily ours, and a guest appearance is not an endorsement of the guest, their employer, or their business — or of ours by them.

08Registration, cancellation, and fees

Some sessions and programs require registration, and some carry a fee. Specific terms — price, cancellation window, refund policy, transfer rules — appear at the point of registration and apply to that program.

Seats are limited. If you cannot attend, tell us as early as you can so the seat can go to someone on the waiting list. We may reschedule or cancel a session; if we cancel, you may transfer to a later date or receive a refund of any fee paid.

09Third-party links and services

We link to other websites and use third-party tools for registration, email, payment, and media hosting. We do not control them and are not responsible for their content, practices, or availability. Your use of them is governed by their terms.

10Disclaimers

The site and its content are provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted availability.

Our Disclaimer forms part of these terms and explains the limits of the information we publish, including that it is not legal, financial, medical, or mental health advice.

11Limitation of liability

To the fullest extent permitted by law, EAMG and its owners, associates, and contractors are not liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising from your use of the site or reliance on its content.

Our total liability for any claim relating to the site is limited to the amount you paid us for the specific program or service the claim relates to, or one hundred dollars (US$100) if you paid nothing. Liability under a signed services agreement is governed by that agreement.

Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

12Indemnification

You agree to indemnify and hold harmless EAMG and its owners, associates, and contractors from claims, losses, and reasonable legal fees arising out of your use of the site, your submissions, or your breach of these terms or of any law or third-party right.

13Governing law and disputes

These terms are governed by the laws of the State of California, without regard to conflict of law rules. Any dispute that cannot be resolved between us will be brought in the state or federal courts serving Yuba County, California, and both parties consent to that jurisdiction.

Before filing anything, please contact us. Most disagreements are faster to resolve with a conversation.

14Termination and severability

We may suspend or end your access to the site or to a program at any time if you breach these terms. Sections that by their nature should survive — intellectual property, disclaimers, limitation of liability, indemnification, governing law — survive termination.

If any provision is found unenforceable, the rest remains in effect. Our not enforcing a provision is not a waiver of it.
